Terms of Service (v2026-04-29)

These Terms of Service (“Terms”) govern your access to and use of the Amerigo Marketplace website and services (together, the “Platform”), operated by Amerigo Marketplace LLC(“Amerigo,” “we,” or “us”). By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. What Amerigo is

Amerigo is an online marketplace that helps U.S.-based manufacturers (“Manufacturers”) connect with buyers (“Buyers”). We operate the Platform as a venue — we are not a party to any transaction between a Buyer and a Manufacturer. Quotes, contracts, products, and services are the responsibility of the transacting parties.

2. Eligibility & account

  • You must be at least 18 years old to use the Platform.
  • Manufacturers must represent that they are a legitimate, U.S.-based manufacturing business and that all information submitted during onboarding (business name, EIN, address, capabilities) is accurate.
  • You are responsible for keeping your account credentials secure and for all activity under your account.

3. Verification

Amerigo reviews Manufacturer accounts before they appear in public search and RFQ matching. Verification is based on the information you submit and our reasonable judgment. We may decline, revoke, or re-request verification at any time. Verification is not an endorsement — Buyers should perform their own diligence.

4. Payments & fees

Payments are processed by Stripe, Inc. By paying through the Platform, you agree to Stripe's Terms of Service and Privacy Policy. Amerigo may charge a platform fee (currently 7% of the quote amount) on each completed transaction. Payouts to Manufacturers are handled by Stripe Connect.

5. Refunds & disputes

Refund and dispute resolution is primarily a matter between the Buyer and the Manufacturer. If the parties cannot resolve a dispute within seven (7) days, either party may request Amerigo's help by emailing support@amerigomarketplace.com with the deal ID and a brief description of the issue. Amerigo will respond within five (5) business days. Disputes must be raised within thirty (30) days of the deal's completion (or, if undelivered, within thirty (30) days of the originally agreed delivery date) to be eligible for platform mediation. Chargebacks are handled per Stripe's dispute process and may result in suspension of either party pending resolution.

6. Taxes, compliance, exports

Each party is responsible for their own tax obligations (including sales tax, use tax, and income tax), customs/export compliance, industry-specific regulations, and any required licenses or certifications. Amerigo does not provide tax or legal advice.

7. Acceptable use

You agree not to use the Platform to:

  • Post false, misleading, or unlawful content.
  • Circumvent the Platform to transact directly with the intent of avoiding fees.
  • Scrape, spam, or abuse the Platform or its users.
  • Infringe on the intellectual property or rights of others.
  • Upload malware or otherwise interfere with the Platform's operation.

8. Content & intellectual property

You retain ownership of any content you submit (storefront copy, images, RFQs, messages). You grant Amerigo a non-exclusive, worldwide license to host, display, and distribute that content solely to operate the Platform. Amerigo's own branding, design, and code are our property.

9. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms, if we reasonably believe your use of the Platform creates risk or legal exposure, or for any reason with reasonable notice. Obligations that by their nature should survive termination will survive.

10. Disclaimers

The Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Amerigo does not guarantee the availability, accuracy, completeness, or reliability of any listings, products, or services.

11. Limitation of liability

To the maximum extent permitted by law, Amerigo's total liability to you for any claim arising out of or relating to the Platform is limited to the greater of (a) the fees we earned from your transactions in the 12 months preceding the claim, or (b) $100. We are not liable for indirect, incidental, special, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Amerigo and its affiliates from any claim, loss, or expense (including reasonable attorneys' fees) arising from your use of the Platform, your breach of these Terms, or your violation of any law or third-party right.

13. Dispute resolution & governing law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. Any dispute arising under these Terms will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association. You waive any right to participate in a class action against Amerigo. Small-claims court disputes are exempt from arbitration.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or a prominent notice on the Platform. Continued use after changes take effect constitutes acceptance.
